Welcome to Eldritch Spire LLC. These Terms & Conditions (“Terms”) govern your use of our website (the “Site”) and purchase of digital license keys and downloads for the Arcane Scribe authoring tool (the “Products”). Please read these Terms carefully before placing an order. By accessing or using the Site and/or purchasing Products, you agree to be bound by these Terms.

1. Definitions

  • “Company”, “we”, “us”, “our” refers to Eldritch Spire LLC, the owner of this Site.

  • “Customer”, “you”, “your” refers to anyone accessing the Site or purchasing Products.

  • “Products” refers to the digital license keys, downloads, or related digital content sold via this Site.

  • “Order” means your purchase request accepted by us in accordance with these Terms.

2. Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to buy Products. By completing an Order, you represent and warrant that you meet these requirements.

3. Placing an Order & Payment

  1. Order Submission: Select Products, add them to your cart, and proceed to checkout.

  2. Payment: We utilize Stripe and PayPal to process payments securely. These payment processors are PCI Service Provider Level 1 certified, ensuring the highest level of security for your payment data. We do not store or process your credit card information; all payment data is handled directly by our trusted partners. You agree to provide accurate billing information and to pay all charges incurred.

  3. Order Acceptance: An Order is only accepted once payment is approved and you receive a confirmation email with your license key.

4. License & Use

  1. License Grant: Upon full payment, we grant you a non-exclusive, non-transferable, revocable license to use the Product as specified in the accompanying documentation.

  2. Restrictions: You may not reproduce, distribute, modify, or sublicense the Product beyond the scope of this license.

5. Delivery & Downloads

  • You can download Arcane Scribe via the Download link at the top of this page.

  • You are responsible for maintaining backups of downloaded files. We may revoke or expire download links.

6. Refunds & Cancellations

  • No refunds once a license key has been issued, except where required by law.

  • If you encounter technical issues, contact us within 14 days for support; any discretionary refund or replacement is at our sole discretion.

7. Geographic Restrictions

Due to regulatory restrictions, we currently do not sell to residents of the United Kingdom or the European Union. If your billing address is in one of these regions, your Order will be declined at checkout.

8. Taxes & Fees

  • Prices on the Site do not include VAT, sales tax, or other taxes unless explicitly stated.

  • You are responsible for any local taxes, duties, or fees imposed by your jurisdiction.

9. Account Registration

  • You must create a WooCommerce account to place an Order and access your downloads.

  • Keep your account credentials secure. You are responsible for all activity under your account.

10. Intellectual Property

All content on the Site, including trademarks, logos, and product materials, is owned or licensed by us. You may not use our intellectual property without our express written permission.

11. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Products or Site.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles. You agree that any dispute arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Utah County, Utah.

13. Changes to These Terms

We may update these Terms at any time. The “Last updated” date will reflect changes. Continued use of the Site after changes constitutes acceptance of the revised Terms.
